These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you" or "your") and BP Optima Pte. Ltd. (UEN: 202544773H), a company incorporated under the laws of Singapore with its registered address at 32 Pekin Street, #05-01, Singapore 048762 ("Company", "BPOptima", "we", "us" or "our").

By accessing, browsing or using groundset.tech (the "Site"), you acknowledge that you have read, understood and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue using the Site.

This Site is provided solely for general informational, evaluation and lead-generation purposes regarding the GroundSet™ decision infrastructure platform.

• Site scope: these Terms govern your access to the public web pages, sales lead forms and walkthrough request channels.
• GroundSet™ enterprise deployments: nothing on this Site constitutes a binding commercial offer, software licence or service level agreement (SLA). Access to, deployment of, or licensing of the GroundSet™ enterprise platform is governed strictly by a separate, mutually executed Master Services Agreement (MSA), Software-as-a-Service (SaaS) Agreement and Data Processing Addendum (DPA) between BPOptima and your institution.

If you access or use this Site on behalf of a corporation, financial institution, government entity or other legal organisation, you represent and warrant that you possess full legal authority to bind that organisation to these Terms. In such cases, "you" and "your" will refer both to you individually and to the entity you represent.

All intellectual property rights in and to the Site - including GroundSet™, proprietary software code, visual design, architecture diagrams, user interfaces, documentation, logos and written content - are the exclusive property of BP Optima Pte. Ltd. or its licensors.

Subject to compliance with these Terms, BPOptima grants you a limited, non-exclusive, non-transferable, revocable licence to view, link to and share pages of this Site for internal business evaluation purposes. You may not copy, reproduce, modify, distribute, scrape, create derivative works from, or republish substantial portions of the Site or its underlying logic without prior written consent.

You agree to use the Site strictly for lawful purposes and in a manner that does not infringe upon the rights of others.

• Prohibited conduct: you shall not attempt to disrupt Site functionality, introduce viruses or malicious code, conduct automated data extraction (scraping or crawling, other than search-engine indexing permitted by our robots.txt), reverse engineer the Site's logic, or submit misleading information through enquiry forms.
• Responsible security disclosure: we value security research. If you discover a potential vulnerability or security flaw within our Site infrastructure, you agree to report your findings directly and privately to security@groundset.tech under responsible disclosure principles, granting us reasonable time to remediate prior to any public disclosure.

When submitting a walkthrough request or enquiry through our forms, you agree to provide accurate, current corporate contact information. Submissions via public Site forms do not create a confidential, fiduciary or attorney-client relationship. Confidential details regarding your operational workflows should only be disclosed after executing a formal Non-Disclosure Agreement (NDA) with BPOptima.

The Site and all content, materials and information available on it are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied or statutory.

To the fullest extent permitted by law, BPOptima disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, system availability, and freedom from technical errors or malicious code.

To the maximum extent permitted by applicable law, in no event shall BP Optima Pte. Ltd., its directors, officers, employees, affiliates or agents be liable to you or any third party for any direct, indirect, incidental, consequential, special, reliance or punitive damages (including loss of profits, data, goodwill or business opportunity) arising out of or in connection with your access to, reliance upon, or inability to use this Site.

In all cases, BPOptima's aggregate liability arising out of or relating to your use of this Site shall not exceed SGD 100 (One Hundred Singapore Dollars).

You agree to defend, indemnify and hold harmless BP Optima Pte. Ltd., its officers, directors, employees and agents from and against any third-party claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms, your misuse of the Site, or your violation of applicable laws.

The Site may contain links or redirects to third-party web services or enterprise resources. These links are provided solely as a convenience. BPOptima exercises no control over, assumes no responsibility for, and does not endorse the content, terms or privacy practices of external third-party sites.

We reserve the right, at our sole discretion, to modify, update or replace these Terms at any time without prior notice. Updated versions will be published directly to this page with a new "Last updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the modified Terms.

BPOptima also reserves the right to modify, suspend or discontinue any aspect of the Site at any time without liability.

These Terms, their subject matter, and any non-contractual disputes or claims arising out of or relating to them shall be governed by, construed and enforced exclusively in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.

Any dispute, controversy or claim arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, shall be subject to the exclusive jurisdiction of the Courts of the Republic of Singapore.

If any provision of these Terms is found to be invalid, unlawful or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BP Optima Pte. Ltd. regarding your access to and use of this Site.
